[syslinux] booting from MS-dos disk.

Windows XP's DOS boot disk will not work with memdisk. If I remember 
correctly, it does not use BIOS to access the contents of the floppy 
drive so memdisk is circumvented. You need an earlier version of DOS 
boot disk. Win 98/Win ME or just plain DOS or FreeDOS.
