No,
I'm downloading tar.bz2 package directly to the server, unpacking, and
copying (via cp - 'cp' is a windows version of copy or xcopy commands) to
netboot directory.

I think your problem is connected with transfering files in ascii and
binary modes. Binary should be chosen.

What more, menu.c32 is working fine, when using text mode "applications"
(memdisk with MSDOS image, linux kernel and others).
It only fails after Windows XP installation is starting and displaying
"Setup is inspecting your computer's hardware configuration" (my XP is
polish, but I translated this message to understand).
When I turn off menu, setup is working correctly.

So none of the files are corrupted.

Even using menu.c32 with old hardware (I don't know how to describe "old",
but I will try below), is working fine. With never - not :(

menu.c32 is working correctly on:
Pentrium III 800MHz (Intel D815EEA motherboard) with 3com 3c905[bc] cards,
Duron 1300 (MSI MS-6378) with rtl8139 network card,
Athlon XP 2000+ (Shuttle MK35V) with VIA card,
Athlon XP 3000+ (Abit NF7) with nvidia nforce card,
Pentium 4 3000MHz (Asus P4R8T) with 3c920b card,
Gigabyte GA-K8NSC939 with Pentium 4 processor
Gigabyte GA-M52L-S3 with different Athlon AM2 processors (dual-core
including)
Gigabyte GA-M61PME-S2 with different Athlon AM2 processors (dual-core
including), graphics card integrated and different PCI-E

BUT it is not working with:
Gigabyte GA-MA74GM-S2H (rev. 1.0, 2.0) - build-in network card is
With processors: Ahtlon 64 X2 5000+
and: Athlon Dual Core 7750
Graphic card is integrated.
